01. Acceptance of Terms
These Terms of Service govern access to and use of the website operated by HivePay Administrators (Pty) Ltd. By accessing or using this website or any of our services, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.
02. About HivePay
HivePay provides payment administration and settlement coordination services. HivePay acts strictly as an agent on behalf of its clients for the administrative receipt, reconciliation, and onward transmission of funds. HivePay:
- Is not a bank
- Is not a deposit-taking institution
- Does not provide escrow or custodial services
- Does not provide financial, legal, or investment advice
- Does not operate as a payment service provider unless expressly disclosed
All services are execution-only and administrative in nature.
03. Use of the Website
You agree not to use the website for unlawful purposes, gain unauthorised access to systems, interfere with website functionality, upload malicious code, or misrepresent your identity or authority. HivePay reserves the right to restrict or terminate access at its discretion.
04. Services Description
HivePay may provide administrative receipt of third-party payments, transaction reconciliation, reporting and settlement coordination, deduction of agreed administration fees, and onward transmission of net proceeds. HivePay does not exercise discretion over the commercial purpose of transactions and does not take ownership or beneficial interest in funds received.
05. Third-Party Payments
Funds are received strictly as agent. HivePay does not acquire ownership of such funds. All transactions are subject to bank clearance and compliance review. HivePay may delay, suspend, or refuse transactions where compliance concerns arise. Banking partners may independently impose holds, recalls, reversals, or investigations — HivePay is not liable for such actions.
06. Compliance and AML
HivePay operates in accordance with applicable South African laws, including AML and FICA requirements. We may request identification documentation, request source-of-funds verification, report suspicious activity where legally required, and suspend services pending verification. Failure to provide requested information may result in suspension or termination.
07. No Warranties
The website and services are provided "as is" and "as available".
08. Limitation of Liability
To the maximum extent permitted by law, HivePay shall not be liable for direct or indirect loss. Where liability cannot be excluded, HivePay's liability is limited to the administration fee earned in respect of the relevant transaction.
09. Indemnity
You agree to indemnify HivePay against any claims, losses, damages, penalties, regulatory actions, or legal costs arising from your unlawful conduct, misrepresentation, fraudulent transactions, breach of these Terms, or third-party disputes connected to your activities.
10. Intellectual Property
All website content is the property of HivePay unless otherwise stated. You may not copy, reproduce, or distribute content without written consent.
11. Confidentiality
Information submitted via the website will be treated confidentially, subject to legal disclosure obligations. See our Privacy Policy.
12. Suspension and Termination
HivePay reserves the right to suspend access, terminate services, or refuse transactions without notice where required for compliance, risk management, or legal reasons. Compliance and indemnity clauses survive termination.
13. Severability
If any provision is found unenforceable, it shall be read down to the minimum extent necessary and the remaining provisions shall remain in effect.
14. Governing Law
These Terms are governed by the laws of the Republic of South Africa. Disputes fall under the exclusive jurisdiction of South African courts.
